SEED Design USA reserves the right at any time and without notice to change the Terms and Conditions of Sale.

All sales conditions are applicable to the sale agreement between SEED Design USA, (hereinafter also referred to as SEED Design USA), and the Purchaser. The conditions shall be considered fully accepted by the Purchaser when a Purchase Order is sent to SEED Design USA or when SEED Design USA sends the Purchaser an Order Confirmation, or Sales Invoice.

Unless otherwise noted, all Contents are copyrights, trademarks, trade dress and/or other intellectual property owned, controlled or licensed by SEED Design USA, its suppliers or affiliates, or by third parties who have licensed their materials to SEED Design USA and are protected by U.S. and international copyright laws. The compilation, (meaning the collection, arrangement, and assembly), of all Contents on SEED Design USA is the exclusive property of SEED Design USA and is also protected by U.S. and International copyright laws. SEED Design USA and its suppliers and licensors expressly reserve all intellectual property rights in all text, programs, products, processes, technology, photography, content and other materials which appear on SEED Design USA. Access to SEED Design USA does not confer and shall not be considered as conferring upon anyone any license under any of SEED Design USA’s or any third party’s intellectual property rights. The SEED Design USA names and logos and all related product and service names, design marks and slogans are the trademarks or service marks of SEED Design USA, Inc. All other marks are the property of their respective companies. No trademark or service mark license is granted in connection with the materials contained on SEED Design USA. Access to SEED Design USA does not authorize anyone to use any name, logo or mark in any manner.

If you believe any content appearing on SEED Design USA, whether posted by us or by another visitor, violates the copyright or other proprietary rights of a third party, please notify us immediately, specifically identifying the content in question and the web page on which it appears, as well as the true copyright owner and any supporting information, and we will take appropriate action.

When and if you use SEED Design USA, it shall be your sole responsibility to restrict access to your computer and to maintain the confidentiality of your email address, password and any other account identifiers related to any personal account you created on SEED Design USA. You also agree to accept sole responsibility for any and all activity that occurs under your Account. You should take reasonable steps to protect your computer systems and data from viruses, hackers, identity thieves and other potential risks.

All orders placed by Purchaser are subject to acceptance by SEED Design USA by way of a written confirmation. SEED Design USA shall have the right, at its sole discretion, to refuse or cancel any orders placed. The Purchaser must advise SEED Design USA in writing of any errors or discrepancies in the order confirmation within two business days after the receipt of The Sales Order.

With reference to Retail Price List, Product Catalogue, or any such materials, SEED Design USA reserves the right to modify, without advance notification, the prices and products indicated.

SEED Design USA attempts to display product images shown on the site as accurately as possible. However, we cannot guarantee that the color you see matches the product color, as the display of the color depends, in part, upon the monitor you are using.

Claims can be categorized as Manufacturing Claims or Shipping Claims.

Manufacturing Claims are claims on defects or problems that originated from the factory level or at our USA distribution facility. Manufacturing Claims are considered warranty issues, please refer to Return/Warranty for more information. Concealed freight damages, such as nicks and dings on products, broken glass, and dented surfaces do not qualify as a Manufacturing Claim, please see Freight Claims for details.

For shipping related issues, all details concerning the nature and the extent of the damages as well as photos of the damage must be provided within 24 hours of receiving of merchandise. Customer must retain the damaged item and all original packaging. All Freight Claims for lost and visibly damaged items must be noted on the driver and the receiver’s BOL, (Bill of Lading), or POD, (Proof of Delivery), during the time of receiving. These items must be made available for inspection, by SEED Design USA, or the transportation company, or its representative. Photos that clearly depict the damage are required for every claim. SEED Design USA will not issue credits or send replacements items until the nature and extent of the damage can be verified. Damaged or Incorrect products must be available to be prepped or palletized in the same manner it shipped. Unauthorized returns will be reshipped to the location of origin freight collect. We reserve the right to delay replacements from being sent or a credit to be issued until the defective merchandise is received and inspected at our US distribution facility.

If customer contracts with the transportation/courier company for delivery, it is the responsibility of the customer to file all claims for lost or visibly damaged items with the carrier directly. SEED Design USA will not be responsible for issuing credits or sending replacement items. The customer is solely responsible for obtaining any compensation from the transportation company. SEED Design USA will assist the customer by providing any documentation required to file the claim.

• Payment method is PayPal, or by credit card (Visa, MasterCard, Amex)

The price shall be paid by the Purchaser without charge of costs. The Purchaser shall not be granted any delay of payment in addition to what has been specified. SEED Design USA shall have the right to hold deliveries of goods in any case of non-fulfillment, even partial, by the Purchaser with respect to the agreed payment terms, without being charged with damages of any kind. SEED Design USA also reserves the right to modify at any time the payment conditions in the case of recurring non-fulfillment by the Purchaser.

Prices and availability of products and services are subject to change without notice. Errors will be corrected where and as discovered, and SEED Design USA reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions including after an order has been submitted and whether or not the order has been confirmed and your credit card charged.
